Seller Terms & Agreement

1. Eligible sellers

KemyShopping may onboard a registered company, another lawful entity or an individual or sole trader where the business model and product category permit. The applicant must have legal capacity, a verifiable South African presence or approved operating structure, an appropriate bank account and authority to sell every submitted product.

2. Verification and continuing accuracy

The seller must provide truthful owner, director or representative identity; contact and address details; bank confirmation; registration and tax information where applicable; licences; and sourcing evidence. KemyShopping may repeat verification and the seller must report a material change promptly.

3. Product authenticity, title and sourcing

The seller warrants that every product is genuine, lawful, safe, lawfully sourced, free from undisclosed ownership or finance claims, and not stolen, counterfeit, recalled, blacklisted or unlawfully modified. Supplier invoices and authenticity records must be retained and supplied on request.

4. Listings

Titles, images, brand, model, specifications, variations, condition, price, stock, included items, restrictions, delivery time and warranty must be accurate. The seller must have rights to submitted content. A material defect, repair, regional limitation or missing accessory must be disclosed before sale.

5. Phones and electronics

The seller must retain IMEI or serial records and disclose new, pre-owned or refurbished condition, material repairs, cosmetic grade, battery-health information where relevant, network status, activation-lock status, warranty and included accessories. Regional conversions or hardware modifications must not be misrepresented as an original manufacturer configuration.

6. Price and stock

The seller must keep stock and prices current and may not bait customers with unavailable products. Accepted stock must be reserved. A different product may not be substituted without KemyShopping and customer approval.

7. Order acceptance and packing

The seller must respond within the required service level, pick the correct item, verify condition and serial details, pack safely and apply the correct order identifier. Only the seller may mark its order packed or ready for collection; a driver may not create that seller status.

8. Driver and courier handover

The seller must release a parcel only to the assigned driver, approved courier or verified collection customer after the required QR, PIN, scan or other check. The handover record must identify the collector. The seller must never ask a customer or driver to bypass the authorised workflow.

9. Consumer protection

The seller must comply with the CPA, ECTA and product-specific law and must cooperate with cooling-off cancellations, defective-goods remedies, safety notices, recalls, returns, refunds and warranties. The seller agreement cannot remove a customer's statutory right.

10. Returns and assessments

The seller must respond promptly, provide relevant records, accept an authorised return and assess it fairly. Inspection may establish identity, cause and remedy but may not be used to deprive a customer of a statutory choice. KemyShopping may decide or submit a customer remedy where law, provider rules or clear evidence requires it.

11. Fees, commission and payouts

The commercial schedule states commission, payment charges, delivery allocations, payout timing, lawful reserves and other agreed fees. KemyShopping may deduct approved refunds, chargebacks and amounts arising from seller breach. A payout may be held while a genuine delivery, return, fraud, authenticity or ownership issue is investigated, with appropriate records and reasons.

12. Customer information and POPIA

The seller may use customer information only to fulfil and support the KemyShopping order. It may not add customers to private marketing lists, contact them for unrelated purposes, sell or disclose information, or retain it longer than necessary. Suspected compromise must be reported immediately.

13. Customer communication

Communication must be professional, relevant and use approved channels. The seller may not harass a customer, retaliate over a review or return, request passwords or OTPs, or ask for off-platform payment.

14. Reviews, ranking and promotion

The seller may not buy, fabricate, suppress or manipulate reviews. Search visibility may be affected by relevance, stock, price, fulfilment, complaints, return rates, ratings, listing quality, sponsorship and policy compliance. Campaign participation remains subject to the stated rules.

15. Prohibited conduct

Prohibited conduct includes fraud, counterfeit or stolen goods, review manipulation, customer diversion, misuse of platform data, infringement, unsafe goods, bribery, collusion, discriminatory or abusive conduct, malicious software and interference with another seller or KemyShopping service.

16. Suspension, removals and termination

KemyShopping may remove listings, pause orders, hold payouts or suspend access where reasonably necessary to protect customers, investigate fraud, address legal or safety risk or remedy material breach. Except where urgent action is necessary, the seller should receive the reason and a reasonable opportunity to respond.

17. Records and audits

The seller must retain transaction, sourcing, tax, serial, warranty, fulfilment and customer-service records for the periods required by law and the seller agreement. KemyShopping may request proportionate evidence and conduct category or risk-based reviews.

18. Relationship, law and disputes

The seller is an independent supplier and not an employee or agent authorised to bind KemyShopping. Each party remains responsible for its own tax, staff and legal duties. South African law governs the seller relationship. Internal escalation should be used first where practical, without preventing urgent relief or a statutory complaint.
